For the purpose of optimizing customer satisfaction, Developing the laboratory equipment market, selling reaction separation equipment, and promoting the DOVMXTECH brand in the Territory, DOVMXTECH wishes to select certain distributors possessing the facilities and skills necessary to ensure that the proper marketing and services required by the nature of such products are provided to customers.

Distributors need to meet the following conditions:

More than two years of experience in sales or work related to laboratory equipment

Having a corporate entity

Have relevant social accounts, such as Facebook, Ins, Linkedin, Youtube

By applying for or signing the DOVMXTECH distributor agreement, one agrees and complies with the following relevant terms:

The Distributor shall not:

• represent itself as an agent of DOVMXTECHor its Affiliates for any purpose; or
• pledge DOVMXTECH's credit; or
• give any condition or warranty on DOVMXTECH's behalf; or
• make any representation on DOVMXTECH's behalf; or
• commit DOVMXTECHto any contracts; or
• assume any responsibility on behalf of DOVMXTECHor claim that DOVMXTECH shall be responsible for action or inaction of Distributor or its Affiliates in any aspect.

INTELLECTUAL PROPERTIES

DOVMXTECH hereby grants to the Distributor the non-exclusive right, in the Territory, to use the Trade Marks in the promotion, advertisement and sale of the Products, subject to,and for the duration of, this agreement. The Distributor acknowledges and agrees that all rights in the Intellectual Property shall remain in DOVMXTECH, and that Distributor has and will acquire no right in them by virtue of the discharge of its obligations under this agreement, except for the right to use the Trade Marks as expressly provided in this agreement.

The Distributor shall not sub-license, transfer or otherwise deal with the rights of use of the Trade Marks granted under this agreement.

DOVMXTECH alone is responsible for the registration and maintenance of any marks or designs that relate to the Products. Distributor shall not obtain or try to obtain or register for itself anywhere in the world any trade marks or trade names the same as or similar to the Trade Marks.

CONFIDENTIALITY

Each Party undertakes that it shall not at any time during this agreement and for a period of two years after termination of this agreement, disclose to any person any confidential information concerning the business, price, quotation, clients or suppliers of the other Party or of any member of the other Party's Affiliates.
